Terms of Service

These Terms of Service ("Terms") govern your use of LazyReel ("Service"), a desktop video editing application operated by Codepur ("Company", "we", "us"). By using the Service, you agree to these Terms.

1. Service Description

LazyReel is an AI-powered desktop video editing application for macOS. The Service includes a free tier and paid subscription plans. The application runs locally on your device; your media files are processed on your machine and are not uploaded to our servers.

2. Eligibility

You must be at least 18 years old to use the Service. By creating an account, you represent that you meet this requirement and that the information you provide is accurate.

3. Accounts

• You sign in using Google Authentication. One account per person.
• You are responsible for maintaining the security of your account.
• You must not share your account credentials or license keys with others.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription Plans & Pricing

4.1 Free Plan

The free plan includes basic editing features with limitations: 5 exports per month, 720p maximum resolution, LazyReel watermark on exports, and limited caption/visualizer styles.

4.2 Creator Plan (Monthly)

A recurring monthly subscription billed at the price displayed at the time of purchase. Grants access to all features, unlimited exports, 4K resolution, and Cloud AI usage within fair-use limits.

4.3 Pro Annual Plan

A one-time annual payment billed at the price displayed at the time of purchase. Includes all Creator features plus higher Cloud AI limits and early access to new features.

4.4 Pricing Changes

We may change pricing at any time. Early-access pricing is locked in for users who subscribe during the early-access period. Changes to pricing will not affect your current billing cycle.

5. Device Limits

Paid plans are limited to 2 active devices per account. The Service is for personal, non-commercial team use. You may deactivate a device from Settings to free up a slot for another device.

6. License Keys

• License keys are unique, non-transferable, and bound to a single account upon first activation.
• Each key can only be activated once. Sharing or reselling keys is prohibited.
• We reserve the right to revoke keys that are shared, resold, or obtained fraudulently.

7. API Keys (BYOK)

The Service allows you to use your own API keys from third-party providers (Google, OpenAI, Anthropic). When using BYOK mode:

• Your API keys are stored locally on your device only. We never transmit, store, or access them on our servers.
• You are solely responsible for the security and usage costs of your own API keys.
• We are not liable for any charges incurred through your API keys.

8. Cloud AI (Managed API)

Paid plans include Cloud AI, where we provide API access through our servers:

• Fair-use limits apply (image generation, video generation quotas per month).
• Your content is processed and immediately discarded. We do not store, train on, or retain your media.
• Abuse of Cloud AI (excessive automated usage, circumventing limits) may result in account suspension.

9. Intellectual Property

• Your Content: You retain full ownership of all videos, audio, images, and other content you create using the Service.
• Our Software: The LazyReel application, its code, design, and branding are owned by Codepur. You are granted a non-exclusive, non-transferable license to use the software.
• You may not reverse-engineer, decompile, or create derivative works of the software.

10. Cancellation & Refund Policy

10.1 Cancellation

• Monthly (Creator) Plan: You may cancel at any time. Your access continues until the end of the current billing period. No partial refunds for unused days within a billing cycle.
• Annual (Pro) Plan: You may cancel at any time. Your access continues until the end of the 12-month period. The annual fee is non-refundable after the cooling-off period (see 10.2).
• How to Cancel: Through the Stripe billing portal (Settings > Plans > Manage) or by emailing hellocodepur@gmail.com.

10.2 Refunds

• 7-Day Cooling-Off Period: For annual plans, you may request a full refund within 7 days of your first activation if you are not satisfied. This is in accordance with the Consumer Protection Act, 2019.
• Monthly Plans: Monthly subscription charges are non-refundable. You may cancel to prevent future charges.
• License Keys: License keys are non-refundable once activated (bound to an account).
• How to Request a Refund: Email hellocodepur@gmail.com within 7 days of your annual purchase with your account email and reason for refund.
• Processing Time: Approved refunds are processed within 5-10 business days. Refunds are credited to the original payment method.
• Exceptions: Refunds will not be granted if the account has been suspended for violation of these Terms, or if the service was substantially used during the refund period.

10.3 Service Discontinuation

If we discontinue the Service entirely, all active paid subscribers will receive a pro-rata refund for the unused portion of their subscription.

11. Prohibited Uses

You agree not to:

• Use the Service for any unlawful purpose or to produce illegal content.
• Attempt to circumvent feature gates, export limits, or device limits.
• Share, resell, or distribute license keys.
• Use automated tools to abuse Cloud AI limits.
• Reverse-engineer, decompile, or modify the software.
• Impersonate another user or provide false information.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" without warranties of any kind.
• We are not liable for any indirect, incidental, or consequential damages.
• Our total liability is limited to the amount you paid us in the 12 months preceding the claim.
• We are not responsible for content created using the Service or for third-party API costs incurred through BYOK mode.

13. Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our data practices as described therein.

14. Modifications

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the modified Terms.

15. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Chandigarh, India.

For disputes below INR 10,00,000, we encourage resolution through the National Consumer Disputes Redressal Commission (NCDRC) or the appropriate District/State Consumer Forum as per the Consumer Protection Act, 2019.

16. Grievance Redressal

In accordance with the Information Technology Act, 2000 and the Consumer Protection (E-Commerce) Rules, 2020, the Grievance Officer for LazyReel is:
